On June22, 2017, j2 Global, Inc. (the Company) and its subsidiary
j2 Cloud Services, LLC (j2 Cloud) issued a press release
announcing the pricing of an offering of $650million aggregate
principal amount of senior unsecured notes due 2025 (the Notes)
by j2 Cloud and j2 Cloud Co-Obligor, Inc., upsized from
the $550million previously announced. The offering and sale of
the Notes was made through a private placement to persons
reasonably believed to be qualified institutional buyers in an
unregistered offering to Rule 144A under the Securities Act of
1933, as amended (the Act), and to certain non-U.S. persons in
transactions outside the United States in reliance on Regulation
S under the Act. A copy of the press release is furnished as
Exhibit 99.1 to this Form 8-K.
