(the “Company”) appointed Melvin R. Seiler to fill a vacancy on
the Board of Directors effective February 14, 2017. Mr. Seiler
will also serve on the Audit Committee. The Board of Directors
has determined that Mr. Seiler meets the applicable independence
requirements of The NASDAQ Stock Market LLC. As a result, the
Board of Directors will now consist of nine members, including
six independent directors.
