Intermolecular, Inc. (the Company) held its Annual Meeting of
Stockholders on May 16, 2017 in Menlo Park, California, at which
the companys stockholders voted on the following three proposals
each of which is described in the Companys definitive proxy
statement filed with the Securities and Exchange Commission on
April 05, 2017.The results of the matters voted on by the
Companys stockholders are set forth below.
Proposal 1
To elect three (3) Class III Directors to the Companys Board of
Directors to hold office for a three-year term expiring at the
2020 Annual Meeting of Stockholders or until their successors are
duly elected and qualified or their earlier resignation or
removal:

resolution relating to the compensation of the Companys named
executive officers:
RESOLVED, that the compensation paid to the Companys named
executive officers, as disclosed to Item 402 of Regulation S-K,
including the Compensation Discussion and Analysis, the
compensation tables and the narrative disclosure set forth in the
Companys proxy statement, is hereby APPROVED.
Proposal 2 was approved on an advisory basis.
