(d) On December 9, 2016, the Board of Directors (the “Board”) of Integrated Device Technology, Inc. (“IDT” or the “Company”) appointed Selena Loh LaCroix to serve as a director of the Company, effective December 9, 2016,>filling a new vacancy.
Ms. LaCroix will receive the same compensation the Company provides to non-employee independent directors, which is described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on July 29, 2016. The Company also intends to enter into an indemnification agreement with Ms. LaCroix that is substantially similar to the form of indemnification agreement executed by other members of the Board.
