On June1, 2017, Innophos Holdings, Inc. (the Company) entered
into a Change in Control Agreement (the Agreement) with Amy
Hartzell, the Companys Senior Vice President, Supply Chain and
Purchasing. The Agreement provides that in the event of a
non-cause termination which occurs within the twelve month period
following (or within the six month period prior to) a change in
control of the Company, Ms.Hartzell shall be entitled to receive
severance benefits equal to her annual base salary and short-term
bonus amounts (at target level) for the twelve months following
her termination date, payable in monthly installments or a lump
sum, as applicable. Ms.Hartzell has also agreed to customary
restrictions with respect to the disclosure and use of the
Companys confidential information as well as customary
non-competition and non-solicitation restrictions which last for
the term of her employment and for the 12 month period following
her termination.
