On February 20, 2019, the Talent and Compensation Committee of the Board of Directors (the Committee) of Hostess Brands, Inc. (the Company) adopted the Hostess Brands, Inc. Incentive Compensation Plan for Exempt Non-Sales Employees (the Annual Bonus Plan). The Annual Bonus Plan replaces the Hostess Brands Incentive Compensation Plan adopted in March 2018 and will be administered by the Committee. The Annual Bonus Plan provides eligible employees with an opportunity to earn an annual cash bonus based on the Companys achievement of Net Revenue and Adjusted EBITDA goals, as well as strategic goals based on individual or functional team performance or additional financial or other goals. Full time salaried employees of the Company and its subsidiaries who do not participate in any other annual incentive plan of the Company and serve in certain designated positions, including all of the Companys named executive officers, are eligible to participate in the Annual Bonus Plan. In order to receive payment under the Annual Bonus Plan, an eligible employee must be actively employed by the Company on the date of payment. If and to the extent that annual cash bonuses are earned under the Annual Bonus Plan, payment will be made on or about March 15th of the year following the year of performance.
