On October25, 2018, Mark L. Kleifges announced his decision to retire and therefore resign as our Chief Financial Officer and Treasurer effective December31, 2018.

Also on October25, 2018, our Board of Trustees appointed Brian E. Donley as our Chief Financial Officer and Treasurer effective January1, 2019. Mr.Donley, age 44, is and has been our controller since 2007, and he has held various positions with our manager, The RMR Group LLC, or RMR LLC, since 1997. Mr.Donley is and has been a senior director of portfolio accounting of RMR LLC since 2014, and he previously served as an assistant vice president and controller of RMR LLC from 2007 to 2014. Mr.Donley has more than two decades of commercial real estate experience, including expertise in corporate finance and reporting, mergers and acquisitions, capital market transactions and compliance. Mr.Donley is a certified public accountant.

We have relationships and historical and continuing transactions with RMR LLC, The RMR Group Inc., or RMR Inc., and others related to them. For example: we have no employees and the personnel and various services we require to operate our business are provided to us by RMR LLC to our management agreements with RMR LLC; RMR Inc. is the managing member of RMR LLC; Adam D. Portnoy, one of our Managing Trustees, is the sole trustee, an officer and controlling shareholder of ABP Trust, which is the controlling shareholder of RMR Inc.; and we own shares of class A common stock of RMR Inc. Mr. Portnoy is a managing director, president and chief executive officer of RMR Inc. and an officer of RMR LLC. We also have relationships and historical and continuing transactions with other companies to which RMR LLC or its subsidiaries provide management services and which may have trustees, directors and officers who are also trustees, directors or officers of us, RMR LLC or RMR Inc.
