On January 22, 2019, Hornbeck Offshore Services, Inc. (the “Company”) issued a press release announcing the early tender results and amendments to certain terms of the previously announced private offer to exchange (the “Exchange Offer”) certain of its outstanding 5.875% Senior Notes due 2020 (the “Notes”) for new Second Lien Term Loans due 2025 (the “Term Loans”) of the Company and its wholly-owned subsidiary, Hornbeck Offshore Services, LLC (the “Co-Borrower”), and a solicitation of consents to proposed amendments (the “Proposed Amendments”) with respect to the Notes (the “Consent Solicitation”).
The early tender results and a description of the amendments to the Exchange Offer and Consent Solicitation are contained in the press release that is included as Exhibit 99.1 to this report and is incorporated by reference herein.

Hornbeck Offshore Services Inc. provides marine transportation, subsea installation and accommodation support services to exploration and production, oilfield service, offshore construction and the United States military customers. The Company focuses on providing marine solutions for the deepwater and ultradeepwater energy industry in domestic and select foreign locations.
