Item 3.01. Notice of Delisting or Failure to Satisfy a Continued
Listing Rule or Standard; Transfer of Listing.
On May 23, 2017, HMS Holdings Corp. (the Company) received a
notification letter (the Notice) from the Listing Qualifications
Department of the NASDAQ Stock Market LLC (NASDAQ), indicating
that because the Company had not yet filed its Quarterly Report
on Form 10-Q for the period ended March 31, 2017 (the 2017 Q1
Form 10-Q), the Company is not in compliance with NASDAQ
Marketplace Rule 5250(c)(1), which requires timely filing of
periodic reports with the Securities and Exchange Commission. As
previously disclosed, on March 20, 2017, the Company received a
similar notification letter from NASDAQ due to its delay in
filing the Companys Annual Report on Form 10-K for the fiscal
year ended December 31, 2016 (the 2016 Form 10-K).
In accordance with NASDAQs prior notification letter, the Company
submitted its plan to regain compliance with NASDAQs continued
listing requirements on May 19, 2017. The plan is currently under
review by NASDAQ. Upon acceptance of the Companys compliance
plan, NASDAQ can grant an exception of up to 180 calendar days
from the filing due date of the 2016 Form 10-K, or September 12,
2017, to regain compliance with NASDAQ Marketplace Rule
5250(c)(1). If NASDAQ does not accept the Companys compliance
plan, the Company will have the opportunity to appeal that
decision to a NASDAQ Hearings Panel.
The Notice has no immediate effect on the continued listing of
the Companys common stock on the NASDAQ Global Select Market.
