Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 12, 2019, the Board of Directors of Hills Bancorporation approved an amendment (the “Amendment”) to the Company’s Bylaws (the “Bylaws”) to replace Section 2 to Article III thereof to increase the total number of directors to 12 and to replace Section 9 to Article III regarding vacancies occurring in the Board of Directors. The text of the Amendment is attached hereto as Exhibit 3.2.
