On February 23, 2017, Herbalife Ltd. (the Company) issued a press
release announcing its financial results for its fiscal year
ended December 31, 2016. A copy of the press release is attached

of Directors had approved a new three-year $1.5 billion share
repurchase program.

The Companys 2017 Annual General Meeting of Shareholders will be
held on April 27, 2017.
