On June 28, 2019, Harsco Corporation, a Delaware corporation (the “Company”) issued a press release announcing the closing of its previously announced acquisition of Clean Earth, Inc. from Compass Group Diversified Holding, a copy of which is being furnished herewith as Exhibit 99.1. In addition, as previously disclosed the divestiture of the Company’s Air-X-Changers business to Chart Industries, Inc. is expected to close on July 1, 2019.
