Item 4.01 Appointment of New Independent Registered Public Accountant

(a) Appointment of Weinberg & Company P.A. (“Weinberg”), Certified Public Accountants
(i) Following a careful deliberation and competitive process among various accounting firms, on June 13, 2018, the Company’s Board of Directors engaged Weinberg & Company P.A. (“Weinberg”) as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2018, effective June 13, 2018.
(ii) Prior to retaining Weinberg, the Company did not consult with Weinberg regarding either: (i) the application of accounting principles to a specified transaction, either contemplated or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements; or (ii) any matter that was the subject of a “disagreement” or a “reportable event” (as those terms are defined in Item 304 of Regulation S-K).
(iii) The audit committee of the Company’s Board of Directors approved the appointment of Weinberg as the Company’s independent registered public accounting firm.
