Item 8.01 Other Events.

As previously disclosed, GSRX Industries Inc. (the “Company”) entered into a letter of intent dated September 18, 2018 (the “LOI”) with So-Cal MM Patients Association, LLC (the “Seller”), to which the Company would acquire and assume all of the assets of a cannabis dispensary business. On November 28, 2018, the Company terminated the LOI. No definitive agreements for any transaction contemplated by the LOI were entered into between the parties prior to the termination of the LOI.
