of Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On May17, 2017, following the annual meeting of shareholders of
the Company, the Companys Board of Trustees appointed Ms.Elena
Poptodorova to its Audit, Compensation and Nominating and
Governance Committees. All of the Trusts other Independent
Trustees also continue to serve on those committees.
Ms.Poptodorova was previously elected to the Board on February21,
2017.
Item 5.07. Submission of Matters to a Vote of Security
Holders.
At the annual meeting of shareholders of the Company held on
May17, 2017, the Companys shareholders elected Jeffrey P. Somers
as the Independent Trustee in ClassII of the Board of Trustees
for a three year term of office until the Companys 2020 annual
meeting of shareholders and to serve until his successor is
elected and qualifies. Mr.Somers received the following votes:

The Companys shareholders also elected Barry M. Portnoy as the
Managing Trustee in ClassII of the Board of Trustees for a three

Consistent with the shareholder vote, the Board of Trustees has
determined that it will hold a non-binding, advisory vote on the
compensation paid to the Companys named executive officers every
year. The Board of Trustees may, in its discretion, determine to
change the frequency with which the Company holds this vote.
The Companys shareholders also ratified the appointment of Ernst
Young LLP as the Companys independent auditors to serve for the
2017 fiscal year. This proposal received the following votes:

Item 8.01. Other Events.
On May17, 2017, the Company updated its Trustee compensation
arrangements. A summary of the Companys currently effective
Trustee compensation arrangements is filed as Exhibit10.1
hereto and is incorporated herein by reference.
Consistent with the Companys Trustee compensation arrangements,
on May17, 2017, the Company granted each of the Companys
Trustees an award of 3,000 common shares of beneficial
interest, $.01 par value, of the Company (the Common Shares)
valued at $21.75 per share, the closing price of the Common
Shares on The NASDAQ Stock Market LLC on that date.

Government Properties Income Trust is a real estate investment trust (REIT). The Company operates in two segments: ownership of properties that are primarily leased to Government tenants and its equity method investment in Select Income REIT (SIR).
