Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
Inc. (the Company), on the recommendation of the Companys
Nominating and Governance Committee of the Board, appointed Susan
M. Lyne to the Board, effective April 21, 2017. Ms. Lyne will
serve until the earliest to occur of the Companys 2017 annual
meeting of stockholders (at which she is up for election) and
until her successor is elected or appointed and qualified, or
until her death, resignation or removal. Concurrently with her
appointment to the Board, Ms. Lyne was appointed to serve as a
member of the Companys Compensation and Leadership Committee.

committee memberships in accordance with the Companys
non-employee director compensation policy approved by the Board
in August 2015, which is described in the Companys Definitive
Proxy Statement filed with the Securities and Exchange Commission
(the SEC) on April 22, 2016 under the section titled Proposal No.
1 Election of DirectorsNon-Employee Director Compensation
Arrangements.
