Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 2, 2018, Trevor T. Hill notified Global Water Resources, Inc. (the “Company”) of his resignation as Chairman of the board of directors of the Company (the “Board”) and as a member of the Board, effective December 31, 2018. Mr. Hill’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
In connection with Mr. Hill’s notice of resignation, the Board elected (i) Ron L. Fleming, a current director and President and Chief Executive Officer of the Company, as the Chairman of the Board and (ii) David C. Tedesco, a current director, as the lead independent director of the Board, both effective as of November 2, 2018.
On November 7, 2018, the Company issued a press release announcing Mr. Hill’s resignation. A copy of the Company’s press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.

Global Water Resources, Inc. is a water resource management company. The Company owns, operates and manages water, wastewater and recycled water utilities in strategically located communities, principally in metropolitan Phoenix, Arizona. As of April 28, 2016, the Company owned nine water and wastewater utilities in communities principally in metropolitan Phoenix. As of April 28, 2016, the Company served over 50,000 people in approximately 20,000 homes within its 332 square miles of certificated service areas. The Company is creating renewable water systems where wastewater from homes is treated and used again for various outdoor applications.
