Item 8.01 Other Events.

On February 10, 2017, Global Brass and Copper Holdings, Inc. (the
“Company”) announced that, on February 9, 2017, its Board of
Directors declared a quarterly cash dividend of $0.0375 per share
on the Companys common stock for the fourth quarter of 2016. The
dividend will be paid on March 3, 2017 to stockholders of record
on the close of business on February 21, 2017.

hereto as Exhibit 99.1 and incorporated herein by reference.
