Item 4.01 Changes in Registrants Certifying Accountant.
On November 21, 2016, Kenne Ruan CPA, PC (Kenne Ruan), notified
Gen Serv, Inc., a Nevada corporation (the Company), that Kenne
Ruan had resigned as the independent registered public accounting
firm of the Company effective November 21, 2016.
The audit of Kenne Ruan regarding the Companys balance sheet as
of June 30, 2015 and the statements of operations, stockholders
deficit and cash flows for the period then ended contained no
adverse opinion or disclaimer of opinion except raising
substantial doubt about the Companys ability to continue as a
going concern, nor were they qualified or modified as to
uncertainty, or accounting principle.
From the period as of June 30, 2015, the Company had no
disagreement with Kenne Ruan on any matter of accounting
principles or practices, financial statement disclosure, or
procedure, which disagreement, if not resolved to the
satisfaction of Kenne Ruan, would have caused them to make
reference thereto in theiraudit on the Companys financial
statements for such period. There were no reportable events, as
listed in Item 304(a)(1)(v) of Regulation S-K.
The Company provided Kenne Ruan a copy of the above disclosures
and requested Kenne Ruan to furnish a letter addressed to the
Securities and Exchange Commission stating whether or not it
agrees with the above statements. Kenne Ruans response is
attached as Exhibit 16.3 to this Current Report on Form 8-K.
(b) Appointment of new independent registered public
accounting firm.
On November 16, 2016, the Directors approved the appointment of
Kyle Tingle CPA, LLC (Tingle) as the Companys new independent
registered public accounting firm commencing for its year ended
June 30, 2016.
In connection with the Companys appointment of Tingle as the
Companys independent registered public accounting firm, the
Company has not consulted Tingle on any matter relating to either
(i)the application of accounting principles to a specific
transaction, either completed or contemplated, or the type of
audit opinion that might be rendered on the Companys financial
statements or (ii)any matter that was the subject of a
disagreement (as that term is defined in Item304(a)(1)(iv) of
Regulation S-K and the related instructions) or a reportable
event (as that term is defined in Item304(a)(1)(v) of Regulation
S-K).
