On December 7, 2018, the board of directors (the “Board”) of FTD Companies, Inc. (the “Company”) appointed Scott D. Levin, the Company’s President and Chief Executive Officer as a director, effective December 7, 2018, filling the vacancy on the Board created by the resignation of John C. Walden. Mr. Levin will serve as a class III director with a term expiring at the Company’s 2019 Annual Meeting of Stockholders. Mr. Levin will not be named to any Board committees.
There are no arrangements or understandings between Mr. Levin and any other persons to which Mr. Levin was named as a director. There are no transactions or relationships between the Company and Mr. Levin that are reportable under Item 404(a) of Regulation S-K. Mr. Levin will not receive any additional compensation for his service as a director.
