The Annual Meeting of Shareholders of FNB Bancorp was held on June 14, 2017. Two proposals were submitted to a vote of the shareholders, as follows:
a)Election of nine Directors to serve for the year 2017.
b)Ratification of the appointment of Moss Adams LLP to serve as independent auditors for the fiscal year of 2017.
The results of the voting are described in Exhibit 99.01 to this report and incorporated by reference. The nine Directors (all incumbents) were elected and the appointment of Moss Adams LLP to serve as independent auditors for 2017 was ratified and approved.
