release announcing that it had signed a definitive agreement to
acquire a portion of DuPonts Crop Protection business
(“Acquisition”) and for DuPont to receive as consideration for
the Acquisition FMCs Health Nutrition segment (“Divestiture”)
along with $1.2 billion in cash, subject to customary adjustments
and other terms and conditions set forth in the definitive
agreement. The Company also held a conference call and
simultaneous presentation to investors to discuss the
transaction.
