meeting of stockholders (the Annual Meeting) at which two
proposals were considered. At the Annual Meeting, the Companys
stockholders (i) elected three directors to the Companys board of
directors and (ii) ratified the appointment of KPMG LLP as the
Companys independent registered public accounting firm for the
fiscal year ending December 31, 2017. A total of 50,790,657
shares of the Companys common stock, or 93% of the outstanding
shares of common stock, were represented in person or by proxy at
the Annual Meeting. The matters voted on by the Companys
stockholders and the voting results are as follows:
elected as Class III directors to the Companys board of directors
to serve until the Companys 2020 annual meeting of stockholders
or until their successors are duly elected and qualified.
