subsidiary of Finjan Holdings, Inc. (the Company), closed a
Confidential Patent License Agreement (the License Agreement)
with F5 Networks, Inc. (F5), dated December 28, 2016. to the
License Agreement, F5 will obtain a license to the Finjan patent
portfolio and pay a license fee of $4.0 million in cash, which
Finjan received on December 30, 2016. Such license does not grant
F5 any right to transfer, sublicense or grant any rights under
the License Agreement to a third party except as specifically
provided under the License Agreement. Such license also has
certain provisions relating to certain unlicensed products of any
company that acquires F5, or is acquired by F5 or its affiliates,
in which case additional royalties of 8%, or license fees,
respectively, may apply.>The specific terms of the>License
Agreement are confidential.
Finjan filed a Dismissal with Prejudice of its complaint against
F5, in Case No. 3:16-cv-06955-JCS.>
