Dividend Declaration

On May 1, 2017, Fidelity & Guaranty Life (the “Company”) announced that its Board of Directors had declared a quarterly dividend of $0.065 per share. The dividend is payable on June 5, 2017 to the Company’s stockholders of record as of the close of business on May 22, 2017. A copy of the press release announcing the declaration is furnished as Exhibit 99.1 to this Report.

Annual Stockholder Meeting

On May 1, 2017, the board of directors of the Company approved September 29, 2017 as the date of the 2017 annual meeting of stockholders. The Company’s 2016 annual meeting of stockholders was held on September 30, 2016.
