As previously reported in the Original Form 8-K, a plurality of votes cast at the Company’s Annual Meeting of Stockholders held on May11, 2017 voted, on an advisory basis, to hold future advisory votes on executive compensation every three years. After considering the voting results and other factors, the Company’s Board of Directors has determined that the Company will hold future advisory votes on executive compensation every three years. The Company will continue to hold advisory votes every three years until such time as the next advisory vote is submitted to stockholders regarding the frequency of advisory votes on executive compensation.
