Etsy, Inc. (Etsy) held its 2017 Annual Meeting of Stockholders (the
Annual Meeting) on June 8, 2017. Stockholders voted on the
proposals set forth below.
1.
Proposal 1 – Election of Directors
Each of the Class II director nominees to the Board of Directors
was elected to serve until Etsy’s 2020 Annual Meeting of
Stockholders and until his or her successor has been elected and
qualified. The votes cast were as follows:

Registered Public Accounting Firm
Stockholders ratified the appointment of PricewaterhouseCoopers LLP
as Etsys independent registered public accounting firm for the
fiscal year ending December 31, 2017. The votes cast were as

Proposal 3 – Advisory Vote on Executive Compensation
Stockholders approved, on an advisory basis, the compensation of
Etsy’s named executive officers, as disclosed in Etsy’s Proxy
Statement for the Annual Meeting. The votes cast were as follows:

Proposal 4 – Advisory Vote on the Frequency of Future
Advisory Votes on Executive Compensation
Stockholders recommended, on an advisory basis, every 1 Year as the
frequency of future advisory votes on named executive officer
compensation. The votes cast were as follows:

Based on these voting results, and the Board’s recommendation
that was included in the Proxy Statement for the Annual Meeting,
Etsy has determined to hold a stockholder advisory vote on named
executive officer compensation every year until the next required
vote on the frequency of advisory votes on named executive
officer compensation.
