Departure of Directors or Certain Officers; Election of Directors; Appointment of   Certain Officers; Compensatory Arrangements of Certain Officers.

On December 9, 2016, the Registrant announced the resignation of Eric A. Blanchard as the Registrant’s Senior Vice President, General Counsel and Secretary, effective March 5, 2016.  Mr. Blanchard is leaving to pursue another leadership opportunity outside the Registrant.
