  Arrangements of Certain Officers.
  On April 19, 2017, Equus Total Return, Inc. (the Company) entered
  into a consulting agreement (Consulting Agreement), effective
  April 1, 2017, with Bertrand des Pallieres, a director of the
  Company. The Consulting Agreement provides for consulting
  services to be provided by Mr. des Pallieres, as requested by the
  Company from time to time, at the rate of $300 per hour, and is
  terminable upon 30 days notice.
