On May25, 2017, Engility Holdings, Inc. (the Company) held its
2017 Annual Meeting of Stockholders via live audio webcast. A
total of 35,907,294 shares of the Companys common stock, out of a
total of 36,807,671 shares of the Companys common stock
outstanding and entitled to vote, were present or represented by
proxies. Each of the proposals is described in detail in the
Proxy Statement. The final results for the votes regarding each
proposal are set forth below.

Proposal 1 Election of Directors

The following directors were elected to the Companys Board of
Directors to serve as directors until the Companys 2020 Annual
Meeting of Stockholders and until their respective successors are
duly elected and qualified:

Proposal 2 Ratification of Independent Registered
Public Accounting Firm

The appointment of PricewaterhouseCoopers LLP as the Companys
independent registered public accounting firm for the fiscal year
ending December31, 2017 was ratified.

Proposal 3 Advisory Vote on Executive
Compensation

The Companys stockholders approved, on a non-binding, advisory
basis, the compensation of the Companys named executive officers
as described in the Proxy Statement.
