Arrangements of Certain Officers.
As described below in Item 5.07 of this Current Report on Form
8-K, on June 13, 2017, the stockholders of Ecoark Holdings, Inc.
(the Company) approved the Ecoark Holdings, Inc. 2017 Omnibus
Incentive Plan (the Plan). A description of the material terms of
the Plan is set forth in the Companys Definitive Proxy Statement
on Schedule 14A filed with the Securities and Exchange Commission
on May 1, 2017 (the Proxy Statement) and is incorporated herein
by reference in its entirety. The Plan is incorporated into this
Current Report on Form 8-K as Exhibit 10.1 by reference to
Exhibit 99.1 to the Companys Registration Statement on Form S-8
dated and filed with the SEC on June 14, 2017 (File No.
333-218748). Additionally, forms of the Stock Option Agreement,
Restricted Stock Award Agreement and Restricted Stock Unit Award
Agreement relating to awards to be made to the Plan are attached
as Exhibits 10.2, 10.3 and 10.4 to this
Current Report on Form 8-K, respectively, and are incorporated by
reference herein.

The 2017 annual meeting of stockholders (the Annual Meeting) of
the Company was held virtually on June 13, 2017 at 10:00 a.m.
(central time) at
www.virtualshareholdermeeting.com/EARK. During
the Annual Meeting, the Companys stockholders voted on five
proposals. The proposals are described in the Proxy Statement.

The Company has considered the outcome of this advisory vote and
has determined, as was recommended by the Companys Board of
Directors in the Proxy Statement, that the Company will hold
future say-on-pay votes on an annual basis until the occurrence
of the next advisory vote on the frequency of say-on-pay votes.
The next advisory vote regarding the frequency of say-on-pay
votes is required to occur no later than the Companys 2023 annual
meeting of stockholders.
