Duos Technologies Group, Inc. (OTCMKTS:DUOT) Files An 8-K Submission of Matters to a Vote of Security Holders

On February 23, 2017, Duos Technologies Group, Inc. (the Company)
held a special meeting of stockholders (the Special Meeting).
Greater than fifty percent (50%) of the shares of common stock
outstanding and entitled to vote at the Special Meeting were
present in person or by proxy thereby constituting a quorum.

The matters voted upon at the Special Meeting, and the number of
votes cast for or against/withheld, as well as the number of
abstentions and broker non-votes, as to such matters, where
applicable are set forth in the table below.

Proposal 1: To approve the amendment to the
Companys Articles of Incorporation to effect a reverse stock
split of the Companys issued and outstanding common stock at an
exchange ratio of between, and including, 1-for-5 and 1-for-500,
with the exact ratio to be determined by the board of directors
of the Company in its discretion.

On the basis of the above votes at the Special Meeting, Proposal
1 was adopted.
