Arrangements of Certain Officers.

(b) On December 1, 2016, Sean Lucero resigned as a member of our
board of directors. Mr. Lucero had been involved with Progress
Advocates LLC, one of our joint ventures. We previously announced
the suspension of all marketing and sales activity at Progress
Advocates.

The resignation did not result from any disagreement with us
concerning any matter relating to the companys operations,
policies or practices.

Following the resignation, we have six members on our board of
directors.
