On July 8, 2019, DarioHealth Corp. (“the Company”) and the holders of certain pre-funded warrants to purchase up to 7,175,525 shares of the Company’s common stock (the “Pre-Funded Warrants”) that were issued and sold on May 24, 2019 to the Company’s previously announced public offering, agreed to amend the terms of the Pre-Funded Warrants to include a $100,000 limitation to any potential buy-in penalty as provided in the Pre-Funded Warrants (the “Amendment”).
The Amendment is filed as Exhibit 4.1 hereto and is incorporated herein by reference. The foregoing description of the terms of the Amendment is qualified in its entirety by reference to such exhibit.
