On December 9, 2016, Robert S. Sullivan, Ph.D., notified the Board of Directors (the “Board”) of Cubic Corporation (“Cubic”) that he would not stand for re-election at the 2017 annual meeting of Cubic’s shareholders. Dr. Sullivan’s decision to not stand for re-election did not result from any disagreement with Cubic concerning any matter relating to Cubic’s operations, policies or practices. Dr. Sullivan’s service on the Board will end effective as of the date of the 2017 annual meeting of Cubic’s shareholders.
