Item5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.
On February 8, 2017, the Board of Directors of CSX Corporation
(the Company) approved an amendment (the Amendment) to the
Companys Amended and Restated Bylaws (the Bylaws) effective as of
February 8, 2017. The Amendment extended the deadline for
shareholders to nominate directors and to propose that other
business be considered at the 2017 annual meeting of shareholders
of the Company from the close of business on February 10, 2017 to
the close of business on February 24, 2017. Any director
nominations or proposals of other business received by the
Company prior to the close of business on February 24, 2017, and
otherwise complying with the Bylaws, may be brought before the
Companys 2017 annual meeting of shareholders.
