Item 1.01 – ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On January 9, 2018, Crown Castle International Corp. (“Company”) entered into an underwriting agreement (“Underwriting Agreement”) with Citigroup Global Markets Inc., Credit Agricole Securities (USA) Inc., RBC Capital Markets, LLC, SG Americas Securities, LLC and TD Securities (USA) LLC, as Representatives for the several Underwriters (“Underwriters”), to which the Company agreed to issue and sell to the Underwriters $750,000,000 aggregate principal amount of the Company’s 3.150% Senior Notes due 2023 and $1,000,000,000 aggregate principal amount of the Company’s 3.800% Senior Notes due 2028 in a registered public offering (“Offering”) to the Company’s shelf registration statement on Form S-3 (Registration File No.333-203074).
