Compensatory Arrangements of Certain Officers.
On April6, 2017, our board of directors appointed Robert A.
Whitman as a ClassI director. Mr.Whitmans term as one of our
directors will begin on Wednesday, May3, 2017. Under the terms of
our 2006 equity incentive plan, on May3, 2017, Mr.Whitman will as
result of this appointment be granted shares of restricted stock,
valued at $75,000 based on the closing price of our common stock
on that date, vesting in four equal annual installments beginning
on May3, 2018.

On April12, 2017, we issued a press release announcing the
appointment of Mr.Whitman as a director. A copy of this press
release is attached as Exhibit99.1 and is incorporated herein by
reference.
