Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
As previously disclosed in the Current Report on Form 8-K filed by
Enterprise Financial Services Corp (the Company) with the SEC on
February 8, 2017, Peter F. Benoist resigned from the position of
Chief Executive Officer (CEO) and from the Board of Directors (the
Board), effective as of May 2, 2017, and James B. Lally succeeded
Mr. Benoist as CEO and as a member of the Board. The transition
took place at the Companys 2017 Annual Meeting (defined below).
Enterprise Financial Services Corp (the Company) with the SEC on
