On January 3, 2019, Tabatha Coffey notified Concierge Technologies, Inc. (the “Company”) and Nicholas Gerber, Chairman of the Company’s board of directors the (“Board”), of her decision to resign as a director of the Company effective January 3, 2019. Ms. Coffey’s resignation was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company.
to the Company’s Articles of Incorporation and Bylaws, a vacancy on the Board may be filled by a majority vote of the remaining directors, and any director elected to fill a vacancy will serve until the next election of directors by the Company’s stockholders.
