Item 1.01 Entry into a Material Definitive Agreement.
Delaware corporation (CPSI), as borrower, and certain
subsidiaries of CPSI, as guarantors (collectively, the
Subsidiary Guarantors), entered into a First Amendment
(the Amendment) in order to amend CPSIs existing Credit
Agreement, dated as of January 8, 2016 (the Credit
Agreement) by and among CPSI, the Subsidiary Guarantors,
certain lenders named therein, and Regions Bank, as
administrative agent and collateral agent.
order to increase the maximum consolidated leverage ratio that
must be maintained by CPSI from 3.00:1.0 to 3.50:1.0 for any
fiscal quarter ending during the period from October 1, 2016
through September 30, 2017; from 2.50:1.0 to 3.00:1.0 for any
fiscal quarter ending during the period from October 1, 2017
through September 30, 2018; and stepping down to 2.50:1.0 for any
fiscal quarter ending on or after October 1, 2018.
