Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Effective July 24, 2017, CommVault Systems, Inc. (“the Company”) amended its Amended and Restated Certificate of Incorporation to change its name to Commvault Systems, Inc. (the “Amendment”). The Amendment was duly approved by the Company’s Board of Directors and was effective with the Delaware Secretary of State on July 24, 2017. Stockholder approval of the Amendment was not required to Section 242(b)(1) of the General Corporation Law of the State of Delaware. A copy of the Certificate of Amendment is attached hereto as Exhibit 3.4. The Company’s common stock will continue to trade on the NASDAQ Global Select Market under the symbol “CVLT” and its CUSIP number will not change.
