On December12, 2016, Communications Sales Leasing,Inc. (CSL or
the Company) and CSL Capital, LLC (the Co-Issuer and, together
with CSL, the Issuers) announced the launch and pricing of an
offering of $400 million aggregate principal amount of 7.125%
senior notes due 2024 (the Notes).
The Notes are being offered to persons reasonably believed to be
qualified institutional buyers to Rule144A under the Securities
Act of 1933, as amended (the Securities Act), and outside the
United States to non-U.S. persons to Regulation S under the
Securities Act.
The foregoing is qualified by reference to the press releases
that are attached as Exhibits 99.1 and 99.2 to this Current
Report on Form8-K, which is incorporated herein by reference.
This Current Report on Form8-K, including the press releases
