On March2, 2017, the stockholders of Coherent,Inc. (the Company)
approved the Companys 2011 Equity Incentive Plan (the Plan). A
description of the terms of the Plan is incorporated by reference
herein to Proposal Five Approval of 2011 Equity Incentive Plan
contained in the Companys proxy statement on Schedule 14A, as
amended, filed with the Securities and Exchange Commission on
February8, 2017.

ITEM 5.07. Submission of Matters to a
Vote of Securityholders

On March2, 2017, the Company held its 2017 Annual Meeting of
Stockholders. Present at the annual meeting in person or by proxy
were holders of 23,180,935 shares of common stock, or
approximately 94.4% of the total shares entitled to vote at the
meeting. The voting results for each of the proposals considered
at the annual meeting are provided below.

The Company is engaged in designing, manufacturing, servicing and marketing of lasers and related accessories for a range of scientific, commercial and industrial applications. It operates through two segments: Specialty Lasers and Systems (SLS) and Commercial Lasers and Components (CLC).
