On February24, 2017, Civista Bancshares, Inc. announced that it
has completed a public offering of 1,610,000 of its common shares
at a price of $21.75 per share. The offering resulted in gross
proceeds of approximately $35.0million and net proceeds of
approximately $32.8million. Keefe Bruyette Woods, Inc. and
Sandler ONeill Partners, L.P. served as bookrunning managers for
the offering.
On February24, 2017, the company issued a press release
announcing the completion of the offering. A copy of that press
release is attached hereto as Exhibit 99.1.
Civista Bancshares, Inc. is a $1.4billion financial holding
company headquartered in Sandusky, Ohio. The companys banking
subsidiary, Civista Bank, operates 29 locations in Northern,
Mid-Central, and Southwestern Ohio.
