Item 8.01Other Events.

On September 5, 2017, the Company entered into an Underwriting Agreement (the "Underwriting Agreement") with J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Citigroup Global Markets Inc., as representatives of the several underwriters named in Schedule I thereto, with respect to the issuance and sale by the Company of $600 million in aggregate principal amount of its 3.050% Senior Notes due 2027 (the "2027Notes")and $1 billion in aggregate principal amount of its 3.875% Senior Notes due 2047 (together with the 2027 Notes, the "Notes"). The Notes are being offered and sold to the Company's shelf registration statement on Form S-3ASR (File No. 333-219729).

The Underwriting Agreement contains customary representations, warranties and agreements of the Company, conditions to closing, indemnification rights and obligations of the parties, and termination provisions.
