Item 1.01 Entry into a Material Definitive Agreement

On October 26, 2017, Centrus Energy Corp. (“Centrus” or the “Company”) signed a new Centrifuge Research and Development contract with UT-Battelle, LLC (“UT-Battelle”), as operator of the U.S. Department of Energy’s Oak Ridge National Laboratory. Under the terms of the agreement, Centrus will provide engineering and testing work in Oak Ridge, Tennessee to preserve and advance the American Centrifuge uranium enrichment technology to support future national security and energy security needs at its facilities. The contract is a fixed priced contract totaling approximately $16 million with payments made upon completing certain defined milestones and runs through September 30, 2018. The contract is incrementally funded and subject to appropriations by the federal government.

The Company, or its subsidiaries, are also a party to a number of other agreements or arrangements with the U.S. government, as described in the Company’s annual report on Form 10-K and quarterly reports on Form 10-Q.
