The Notes were offered to a shelf registration statement on Form S-3 (File No.333-214279), which became immediately effective upon its filing with the Securities and Exchange Commission (the “SEC”) on October27, 2016. A preliminary Prospectus Supplement dated August 1, 2017 relating to the Notes was filed with the SEC on August 1, 2017, and a final Prospectus Supplement dated August 1, 2017 was filed with the SEC on August 1, 2017.
