Item1.01. Entry into a Material Definitive Agreement.
On December28, 2006, CECO Environmental Corp. (the Company)
entered into a warrant agreement (the Warrant Agreement) with
Can-Med Technology, Inc. d/b/a Green Diamond Oil Corp. (as
predecessor to Icarus Investment Corp. (Icarus)). The Warrant
Agreement provides for warrants to purchase 250,000 shares of the
Companys common stock (the Common Stock). On December7, 2016, the
Company and Icarus executed Amendment No.1 (the Amendment) to the
Warrant Agreement to provide for the cashless exercise of the
warrants to purchase Common Stock issued to Icarus to the Warrant
Agreement.
