Departure of Directors or Principal Officers; Election of
Directors; Appointment of Principal Officers.
Caterpillar Inc. (the Company) previously filed a Current Report
on Form 8-K to report that on April 11, 2017 the Companys Board
of Directors (the Board) elected Rayford Wilkins, Jr. as a
director, effective immediately. At the time of the election, the
Board had not made a determination regarding any committee
assignments for Mr. Wilkins. On>April 12, 2017, the Board
appointed Mr. Wilkins as a member of the Audit>Committee,
effective on that date.
